Terms and Conditions (the “Terms and Conditions”)

Please read these Terms and Conditions carefully.

BY SUBMITTING AN APPLICATION TO AND PARTICIPATING IN THE COMPETITION, YOU AGREE, ON BEHALF OF THE ENTRANT COMPANY, TO BE BOUND BY THESE TERMS AND CONDITIONS AND the decisions of The SPONSOR, which are final and binding.

TERMS AND CONDITIONS:

1. SUBMISSION PERIOD

The Elevator Pitch Competition (the “Competition”) will take place from August 25, 2026 to September 23, 2026 (the “Submission Period”). The Sponsor reserves the right to extend or shorten the Submission Period in their sole discretion, subject to applicable law.

2. COMPETITION SPONSOR

Tangerine is the Competition sponsor (the “Sponsor”).

3. ELIGIBILITY

To be eligible to enter the Competition and/or win the Prize (as defined below), the entrant must, at the time of entry:

    1. Be a legal resident of Canada;

    2. Be 18 years of age or older;

    3. Own, operate or be authorized to represent the business described in the entry;

    4. Submit an eligible pitch describing what $50,000 could mean for the entrant’s business;

    5. Be able to attend Elevate in person on September 24, 2026 to be announced and receive the Prize; and

    6. Be available to receive a telephone call from the Sponsor on September 23, 2026 and return the call within two (2) hours of the Sponsors’ first contact attempt.

Employees, officers, directors, representatives and agents of the Sponsor or its affiliates (including Scotiabank) and any prize supplier, and members of their immediate families or households, are not eligible to enter the Competition. “Immediate family” means a parent, sibling, child or spouse.

4. HOW TO ENTER

To participate in the Competition, you must:

   1. Complete and submit your First Name, Last Name, and Email on the registration form at https://www.tangerine.ca/en/personal/invest/elevator-pitch-registration.

   2. Submit your pitch and required information either onsite at Elevate between September 22 and 23, 2026 or by email to tangerinebusiness@tangerine.ca during the submission period.

   3. Meet the eligibility criteria outlined in the Registration Form and in these Terms and Conditions.

   4. Submit a pitch explaining what $50,000 could mean for your business and all other material required by the registration form.

In addition to any other requirements set out in these Terms and Conditions, to be eligible all applications must meet the following requirements:

   • Applications must be the original work of entrant company (no co-contributors permitted) and must not be plagiarized;

   • Applications must not contain content that: is inappropriate, offensive or indecent including profanity, nudity, or sexual content; promotes racism, hatred, violence or harm against any living creature, individual or group; promotes discrimination based on gender, race, religion, nationality, disability, sexual orientation, age or any other prohibited ground; or promotes the use of alcohol, illegal drugs, tobacco, weapons, or illegal activities;

   • Applications must not contain advertisements, personal or commercial solicitations, or promote any political agenda or party;

   • Applications must not contain names, likenesses, photos or other information about an identifiable individual, including without limitation celebrities and/or other public or private figures, living or dead, without express written permission from the person(s) (or their estate);

   • Applications must be in keeping with the Sponsors’ image and not contain any material that could reflect negatively on the name, reputation or goodwill of the Sponsor, their subsidiaries or affiliates, in the Sponsors’ sole discretion; and

   • Applications must not violate or encourage the violation of any law, rule or regulation.

The Sponsor reserves the right to have any application disqualified which, in their sole discretion, they deem to be inappropriate or unsuitable.

Providing the entrant company meets the eligibility criteria above and has successfully submitted its application online during the Submission Period, the application becomes a qualified application ( “Qualified Application”).

The Sponsor will not accept any responsibility for late, lost, delayed, corrupted, illegible or incomplete submissions, which shall be disqualified at the sole discretion of the Sponsor without any right of appeal.

By submitting an application, the entrant, on behalf of the company, represents and warrants to the Sponsor and acknowledges that the Sponsor is relying on such representations and warranties in acceptance of the application into the Competition and consideration of a Prize, that:

   (a) the entrant, on behalf of the company as full power and capacity to agree to these Terms and Conditions free from any and all encumbrances, claims, liens or demands of any nature whatsoever and to perform the obligations and grant the rights and releases under these Terms and Conditions;

   (c) no consent of any other person is required for the submission of the application to the Sponsor and participation in the Competition;

   (d) the submission of the application to the Sponsor will not constitute a breach of or default under any agreement to which the entrant or the company is a party, or any breach of confidentiality or intellectual property of a third party; and

   (e) the entrant or the company has not been served with, and is not party to, any litigation matters which are the subject of the entrant’s application to the Competition.

5. SELECTION PROCESS

Judging

Following the end of the Submission Period, a panel of judges selected by the Sponsor will evaluate all eligible entries.

The winner will be selected by the judging panel based on the criteria above and announced at Elevate on September 24, 2026. The winner must attend Elevate in person on September 24, 2026 to be announced and receive the Prize.

The panel will select one (1) winner (the “Winner”) from among all eligible entries based on the judging criteria below.

   o Storytelling: how clearly, authentically and compellingly the pitch communicates the business story and explains what $50,000 could make possible;

   o Community impact: the potential for the business and the proposed use of the Prize to create a positive and meaningful impact in its community;

   o Business creativity: the originality, inventiveness and resourcefulness of the business idea and proposed use of the Prize.

The potential winner will be contacted by telephone on September 23, 2026 using the contact information provided in the entry. The potential winner must return the Sponsors’ call within two (2) hours after the first contact attempt. If the potential winner does not return the call within that period, cannot be verified, cannot attend Elevate on September 24, 2026, or does not comply with these Terms and Conditions, the potential winner may be disqualified and an alternate potential winner may be selected based on the judging results, subject to applicable law.

Announcement of the Winner

The Winner will be announced at Elevate on September 24, 2026, subject to verification, compliance, and will be posted with these Competition Terms and Conditions on the website no later than October 31, 2026.

6. PRIZES

The Prize is valued in Canadian dollars.

Winner

One (1) Prize will be awarded to the Winner, consisting of CDN $50,000, to be used for the Winner’s business, in the form of a cheque.

7. GENERAL TERMS AND CONDITIONS

Verification of Entries. The validity of any application is subject to verification by the Sponsor. Any illegible, incomplete or fraudulent application will be rejected. Any applicant or any individual who enters or attempts to enter the Competition in a manner, which is contrary to these Terms or Conditions or by its nature is unjust to other applicants, will be rejected. All decisions of the Sponsor with respect to any aspect of the Competition, including the eligibility or disqualification of applicants, are final and binding, without right of appeal. If a dispute arises regarding who submitted an application, the application will be deemed to be submitted by the authorized account holder of the email address provided at time of entry. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access or online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

   7.1. Acceptance of Prize. Except at the discretion of the Sponsor, the Prizes are non-transferable and must be accepted as awarded and cannot be substituted for another item or exchanged.

   7.2. Substitution of Prize. If for any reason the Sponsor is unable to award a Prize, or a portion of a Prize, as described in these Terms and Conditions, the Sponsor reserves the right at their sole discretion to award a prize of equivalent value. In the event that a Prize winner is unable to redeem any or all of a Prize, due to reasons beyond the control of the Sponsor, their employees, representatives, agents, and all parties associated with this Competition, no compensation or substitution prize will be provided. Any costs or expenses incurred by Prize winners in claiming or using their Prizes will be their responsibility.

   7.3. Release and Exclusion of Liability - General. By participating in this Competition, the entrant company and their employees (or if founder or CEO is a minor, their parents/legal guardians) release and hold harmless the Sponsor and their respective parent companies, affiliates, and subsidiaries, and each of their directors, officers, employees, agents, mandataries, and advertising and promotional agencies affiliated with this Competition, participating establishments and any independent appointed judges from any liability, claims, actions, injury, loss, or damage of any kind, including, but not limited to, illness, personal injury or death, resulting, directly or indirectly, in whole or in part, from participating in this Competition or from the acceptance, possession, or use or misuse of the Prize or any portion thereof (including any travel/activity related thereto). This limitation of liability is a comprehensive limitation of liability that applies to all damages of any kind, including without limitation compensatory, direct, indirect, consequential or punitive damages; loss of data, income or profit; loss of damage to property; breach of confidentiality or privacy rights; and claims of third parties.

   7.4. Exclusion of Liability – Network Errors. The Sponsor shall not be responsible for any failure of email or the Competition website or for any problems or technical malfunction of a telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any email, on-line, or Internet entry to be received by the Sponsor. In addition, the Sponsor shall not be responsible for technical problems, traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person’s computer or property related to or resulting from downloading any material in Competition. The Sponsor reserves the right, at their sole discretion, to cancel, suspend, extend or modify this Competition without notice, obligation or liability if in the Sponsors’ opinion there is any suspected or actual evidence of tampering with any portion of the Competition, or if virus, bugs, non-authorized human intervention, force majeure or other causes corrupt or impair the administration, security, fairness, or integrity and proper play of the Competition, or for any other reason in the Sponsors’ sole discretion, including insufficient entries. In such case, the Sponsor may select the Finalists or Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Competition may be a violation of criminal and civil laws, and, should such an attempt be made, the Sponsor reserve the right to seek remedies and damages to the fullest extent permitted by law.

   7.5. Exclusion of Liability – Prizes. The Sponsor shall not be responsible in any way for the use of or bear any liability whatsoever in any way attributable to, the Prizes awarded in this Competition or the events forming part of this Competition, including but not limited to typographical or other errors in the offer or administration of this Competition, these Terms and Conditions, the selection and announcement of winners or the distribution of the Prizes. The Sponsor and their affiliates, and their respective officers, directors, partners, partnerships, principals, representatives, agents, licensees, successors and assigns (i) make no warranty, guaranty or representation of any kind concerning the Prizes, (ii) disclaim any implied warranty or condition, and (iii) are not liable for injury, loss, or damage of any kind resulting from the acceptance, use or misuse of the Prizes, travel related thereto or otherwise from participation in this Competition.

   7.6. Taxes. Each Winner is solely responsible for the payment of any taxes as may be required by the applicable taxing authority in connection with the acceptance or use of a Prize.

   7.7. Publicity, Video and Media Consent and Release. By entering the Competition, the entrant company and all individuals participating on behalf of the company (collectively, the “Releasees”) agree to be filmed or photographed in connection with their involvement in the Competition and consents to the use by or on behalf of the Sponsor of their name (including personal name), address (city and province), image, likeness, photograph, biographical information, voice and/or any statements made by the Releasees regarding the Competition or the Sponsor (“Likeness and Statements”), for promotional, advertising, marketing, publicity and commercial purposes in any and all media now or hereafter devised, including but not limited to, any online announcements, worldwide in perpetuity, without additional compensation, notification, or permission, except where prohibited by law. The Releasees agrees that the Sponsor shall have full exclusive ownership of any photos or video taken of them in connection with the Competition (“Media”) and shall have no rights whatsoever to the Media. The Releasees hereby releases the Sponsor and their designated photographers or videographers from any and all liability arising out of their use of the Releasees’ Likeness and Statements, and/or the Media.

   7.8. Confidentiality. The receiving parties (Disruption and Scotia and any judges appointed by them in connection with the Competition, collectively the “Receiving Parties”), except as required for the Competition, will not disclose any confidential information provided by the entrant company and all individuals participating on behalf of the company (the “Disclosing Party”) to anyone without the Disclosing Party’s prior written consent. The Receiving Parties will not use, or permit others to use, confidential information provided by the Disclosing Party for any purpose other than to pursue discussion and evaluation of potential business dealings between the parties and potential investment by Disruption in accordance with the Competition. The Receiving Parties will take all reasonable measures to avoid disclosure, dissemination or unauthorized use of confidential information, including, at a minimum, those measures it takes to protect its own confidential information of a similar nature. Notwithstanding anything to the contrary herein, disclosure of confidential information by the Disclosing Party shall not be precluded if such disclosure is in response to a valid order of a court or governmental body or is otherwise required by law.

   7.9. Conflict. In the event of any inconsistency between these Terms and Conditions and any statements or disclosures contained in any Competition-related materials, including but not limited to, any entry registration forms or television, print, online or other advertising or promotional materials, these Terms and Conditions shall prevail.

   7.10. Governing Law. This Competition is subject to all applicable federal, provincial and municipal laws. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of entrant and the Sponsor in connection with the Competition, will be governed by and construed and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable thereto. All entrants consent to the jurisdiction and venue of the Province of Québec.

   7.11. Language. The parties have expressly required that these Terms and Conditions be drafted in the English language.
